AlphaStaffHCM is seeking an experienced, creative General Counsel to lead and manage the Legal Department for the entire organization. This executive-level leader will help develop and execute the Legal Department’s strategic initiatives; provide practical legal advice and counsel on employment-related matters, litigation, client and vendor contracts, data privacy, corporate governance, compliance, and other corporate legal needs; and operationalize legal guidance in a clear, business-focused manner. As a member of the Company’s Executive Leadership Team reporting directly to the Chief Executive Officer, this role will interface frequently with and advise key stakeholders, including the Executive Leadership Team and, periodically, the Board of Directors. The ideal candidate will bring strong executive presence, sound judgment, a collaborative “can-do” attitude, and preferably prior experience working for a Professional Employer Organization.
Salary Range: 225-275K plus bonus
Responsibilities include, but are not limited to:
- Provide executive-level strategic legal guidance to the Company’s Board of Directors, Executive Leadership Team, Senior Leadership Team, HR, Client Services, and other internal teams to ensure legal strategy aligns with business goals and Company strategic priorities.
- Lead and manage the Legal Department, including Corporate Attorneys and legal administrative professionals to provide practical, day-to-day legal guidance on matters supporting client service delivery, licensing, garnishments, employee benefits compliance, and related day-to-day functions, such as:
- Review complex client service agreements, vendor contracts, and broker contracts; develop new Company contract forms as services evolve; and manage the Vendor Management and risk assessment program.
- Design and deliver employment law, workplace compliance, managerial best practices, wage and hour, leave law, responsible AI, and other Company training courses as needed.
- Support audits and compliance reviews of employment practices, including I-9, immigration-related compliance, ERISA, ACA, and employee benefit plan considerations.
- Proactively monitor changes in employment law, tax compliance, and employee benefits compliance.
- Develop and implement strategic and compliance initiatives across the organization.
- Advise on escalated issues related to clients, employees, compliance, and HR-related matters.
- Oversee dispute and litigation management in partnership with Corporate Counsel and outside counsel, including subpoenas, garnishments, litigation holds, and EPLI claims support.
- Serve as the owner and leader of company benefits compliance guidance, including group health plan and retirement plan compliance.
- Oversee 401(k) administration and related professional work.
- Manage the Company’s data privacy program and monitor domestic privacy and data protection developments.
- Counsel on emerging technologies, data governance, and privacy and data protection language in agreements with clients, vendors, and affiliates, including driving AI literacy across the organization and serving as a member of the AI Governance Committee.
- Work with the Company’s insurance broker on corporate insurance renewals and manage cybersecurity incident response and remediation.
- Oversee the Company’s intellectual property portfolio.
- Maintain corporate governance processes and documentation, including Board and committee materials and governance policies; attend Board meetings as necessary and perform Company Secretary functions.
- Perform such other duties as assigned.
Qualifications:
Education & Experience:
- Juris Doctor (J.D.) or equivalent.
- Law degree from an ABA-accredited law school and member in good standing of the Florida Bar or Florida In-House Authorized and resident of the State of Florida.
- 10 to 15 years of relevant legal experience with a law firm and/or in-house, with meaningful experience in employment law; a combination of law firm and in-house experience is preferred.
- Experience working for a Professional Employer Organization or Human Capital Management company, including ERISA experience, is strongly preferred.
- Working knowledge of federal and state employment laws across multiple U.S. jurisdictions.
- Prior management experience required.
- Experience providing practical, business-oriented legal advice and building effective relationships with internal business partners.
- Ability to manage multiple matters independently in a fast-paced environment with competing priorities.

Work Environment
This position is primarily office-based, with work performed on a computer in either a corporate office or a remote home office setting. Occasional travel may be required as necessary for business needs and to attend company events. The role may require using telephones, participating in virtual or in-person meetings, and completing training sessions.
